Terms & Conditions

• "Company," "we," "us," or "our" refers to Karyagrah, the operator of Karyagrah.
• "Platform" means the Karyagrah software and all associated services.
• "User," "you," or "your" refers to any person or entity accessing or using the Platform.
• "Content" means all data, text, files, images, templates, and messages uploaded or created by Users.
• "Subscription" means a paid or free plan that grants access to the Platform's features.

By registering an account, clicking "I agree," or accessing the Platform, you confirm that:

• You are at least 18 years of age.
• You have the legal authority to enter into this agreement on behalf of yourself or your organization.
• You have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Karyagrah is a WhatsApp Business SaaS platform that provides:

• Shared team inbox for WhatsApp Business messages.
• Visual chatbot/flow builder for automated responses.
• Bulk and drip campaign tools for sending WhatsApp template messages.
• Contact management and CRM features.
• Analytics and reporting dashboards.
• Multi-number and multi-branch management.
• Webhook integrations.

Services are delivered subject to availability and may be updated, modified, or discontinued at our discretion with reasonable notice.

To use Karyagrah, you must register an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account password and not share credentials.
• Notify us immediately of any unauthorized access at support@karyagrah.com.
• Be fully responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

You agree to use the Platform only for lawful purposes. You must NOT:

• Send spam, unsolicited messages, or bulk messages to users who have not opted in.
• Violate Meta's WhatsApp Business Policy or Commerce Policy.
• Send messages containing illegal, harmful, defamatory, obscene, or fraudulent content.
• Impersonate any person or organization.
• Attempt to reverse engineer, decompile, or hack the Platform.
• Use the Platform to conduct phishing attacks or distribute malware.
• Resell, sublicense, or commercialize the Platform without prior written consent from us.
• Use the Platform in a way that violates any applicable local, national, or international law.
• Overload, damage, or impair the Platform's infrastructure.

We reserve the right to immediately suspend accounts found violating this policy without refund.

Karyagrah integrates with the Meta WhatsApp Business API. By using our Platform, you additionally agree to comply with:

• WhatsApp Business Policy
• Meta Commerce Policy
• All applicable Meta Platform Terms.

You are solely responsible for the content of messages sent through the Platform and for ensuring your messaging practices comply with WhatsApp's opt-in requirements and messaging guidelines.

7.1 Plans

Karyagrah offers various subscription plans. Plan features, limits, and pricing are displayed on our Pricing page and may be updated from time to time.

7.2 Payment

Payments are processed securely by Razorpay. By providing payment information, you authorize us to charge the applicable subscription fee. All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.

7.3 Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.

7.4 Refunds

All subscription fees are non-refundable once a billing cycle has started, except where required by applicable law. If you believe you have been charged in error, contact us within 7 days at support@karyagrah.com.

7.5 Suspension for Non-Payment

We reserve the right to suspend or terminate your account if payment fails and the outstanding amount is not settled within 7 days of the due date.

8.1 Our Property

The Platform, including all software, design, logos, trademarks, and content created by us, is the exclusive property of Karyagrah and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of the Platform without our written permission.

8.2 Your Content

You retain ownership of all Content you upload or create on the Platform. By using the Platform, you grant us a limited, non-exclusive, royalty-free licence to store and process your Content solely for the purpose of providing the services to you.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in our Privacy Policy.

The Platform integrates with third-party services including Meta (WhatsApp Business API) and Razorpay. We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services is subject to their respective terms and policies.

11.1 "As Is" Service

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 Uptime

While we strive for 99.9% uptime, we do not guarantee uninterrupted availability. Scheduled maintenance windows will be announced in advance when possible.

11.3 Limitation of Liability

To the maximum extent permitted by law, Karyagrah shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Platform, even if we have been advised of the possibility of such damages. Our total liability to you shall not exceed the amount paid by you for the Platform in the 3 months preceding the claim.

You agree to indemnify, defend, and hold harmless Karyagrah and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Platform in violation of these Terms.
• Your violation of any third-party rights, including Meta's policies.
• Any content you send or upload through the Platform.

13.1 By You

You may cancel your subscription and delete your account at any time from your account settings. Cancellation takes effect at the end of the current billing period.

13.2 By Us

We may suspend or terminate your account with immediate effect if you breach these Terms, engage in illegal activity, or if required by applicable law. We may also terminate accounts with 30 days' written notice for operational or business reasons.

13.3 Effect of Termination

Upon termination, your access to the Platform will cease. You may request an export of your data within 30 days of termination. After this period, your data may be permanently deleted.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Delhi, India.

Before initiating legal proceedings, we encourage you to first contact us at support@karyagrah.com to seek an amicable resolution.

We reserve the right to modify these Terms at any time. When we make significant changes, we will notify registered users by email and display a notice on the Platform. The revised Terms will take effect 14 days after notification. Your continued use of the Platform after that period constitutes acceptance of the updated Terms.
